These Terms of Service (“Terms”) govern your use of goldnuggetretail.com (the “Site”) and the services provided by Gold Nugget Retail, LLC (“we,” “us,” or “our”) to business clients (“Services”). By using the Site or booking Services, you (“Client” or “you”) agree to these Terms. These Terms apply to business-to-business transactions; if you are entering into an agreement on behalf of a company, you confirm you have authority to do so.
1. Services
We provide deduction recovery and data analysis services as described on the Site or agreed in a separate proposal, statement of work, or booking confirmation. Specific scope, deliverables, timelines, and fees for a given engagement will be set out in that proposal or confirmation, which forms part of these Terms.
2. Bookings and Scheduling
- Bookings made through the Site are requests and are confirmed only once we send written confirmation
- You are responsible for providing accurate information when booking
3. Fees and Payment
- Fees for Services will be set out in the applicable proposal, quote, or invoice
- Late payments may be subject to interest/late fees, and we reserve the right to suspend Services for overdue accounts
- All fees are exclusive of applicable taxes unless stated otherwise
4. Client Responsibilities
You agree to provide timely, accurate information and reasonable cooperation needed for us to perform the Services. Delays caused by incomplete or late information may affect timelines and are not our responsibility.
5. Intellectual Property
- All content on the Site — including text, graphics, logos, and design — is owned by Gold Nugget Retail, LLC or its licensors and may not be copied or reused without permission
- Unless otherwise agreed in writing, deliverables created for you become your property upon full payment, while we retain ownership of our pre-existing methodologies, tools, and templates
Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use it only for the purpose of the engagement.
7. Warranties and Disclaimers
We will perform the Services with reasonable skill and care. Except as expressly stated, the Site and Services are provided “as is” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the fullest extent permitted by law, Gold Nugget Retail, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Site or the Services. Our total liability for any claim arising out of the Services shall not exceed the fees paid by you for the Services giving rise to the claim and in the 3 months preceding the claim.
9. Indemnification
You agree to indemnify and hold Gold Nugget Retail, LLC harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site or Services.
10. Governing Law and Disputes
These Terms are governed by the laws of California, USA without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services shall be resolved in the courts of Orange County, CA.
12. International Clients
We work with clients located both within the United States and internationally. By engaging our Services, international clients agree that these Terms, including the governing law and dispute resolution provisions above, apply to the engagement.
13. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date reflects the most recent changes. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
